Disclosure: UnlistedHub is a brand of Geincept Private Limited, which acts as a dealer in unlisted securities. This article is general educational information, not investment, legal or tax advice, or a recommendation to buy or sell.
Before an unlisted-share transfer, make sure the records identify the exact security, explain the terms agreed for your transaction, and tell you how to check each step is complete. The documents and process can vary by security, parties, transfer route and Depository Participant (DP). This is a practical review framework, not a universal mandatory-document list or a guarantee that a transaction is safe.
1. Confirm the company and exact security
Write down the legal company name, ISIN, share class and proposed quantity. Compare those details across the records supplied for the transaction. If a familiar brand name differs from the legal issuer name, ask for an explanation and supporting records before treating them as the same entity.
A logo or a price-list entry does not resolve an identity mismatch. Keep the source and date for each identifier, and leave any unresolved difference visible instead of filling the gap with an assumption.
2. Get the transaction terms in writing
Ask for a dated confirmation that identifies the buyer and seller, security, quantity, applicable price, charges, validity and proposed payment and transfer steps. Confirm who is responsible for each step and how changes or delays will be handled.
Keep an indicative website quote separate from the terms for your specific transaction. Use our unlisted-share price checklist to review the quote basis, security details, liquidity and company information.
3. Record which company information you rely on
Collect the latest available financial statements and relevant company disclosures. Note each source, date and reporting period, and whether a figure is audited, provisional or a management statement. If current information is unavailable, record that limitation clearly.
Ask separately about restrictions or conditions that may affect the specific shares. A document describing a company does not by itself confirm that a particular holding can be transferred. Get clarification where the answer depends on company records or professional interpretation.
4. Confirm the transfer route with your DP
Ask your own DP which instruction route and records apply to your account and transaction. CDSL's Investor Charter describes online instruction facilities and e-DIS alongside physical Delivery Instruction Slips (DIS); the available route depends on the DP, account and transaction.
If your DP instructs you to use a physical DIS, CDSL advises accepting the booklet from your DP, entering the ISIN and quantity accurately, and never signing a blank or partly completed slip. Do not share depository login credentials or OTPs. Read the DP's own current instructions before acting.
5. Agree how you will confirm completion
Before starting, agree how payment and securities-transfer completion will each be confirmed. Retain the written terms, payment record, instruction acknowledgement and relevant demat records. Ask your DP how to distinguish an instruction being submitted from a transfer being completed.
If records do not agree, identify the unresolved step and contact the responsible party through a verified channel. A message saying “done” should not replace reviewing the underlying records.

| What terms apply to my transaction? | Dated written terms, charges and validity |

Keep the risk in view
Unlisted securities can be illiquid, and there may be no buyer when you wish to exit. A possible listing is not guaranteed, and you can lose part or all of your capital. Completing document checks does not remove investment risk.
